UPDATE I have put in about 12 hours of searching for delinquent dormant corps, out of the 12 hours of searching in making my list, i have had several good potentials, about 20, but out of the twenty, about 5 only meeting the exact criteria that i am looking for, not on dnb.com, etc., delinquent for only 2-3 yrs., because the fees can add up quickly, out of 5, I was able to get contact numbers for 3, left message for 2 of the corps, have not received a call back yet, the only 1 contact that I was actually able to speak with, said they will think about it. So again, i have left a message on the 2 others and I need to follow-up & possible continue to call in hopes of catching a live person on the phone. I know Zicman quote.... "Having an established DNB should not disqualify the corp UNLESS it has BAD PAYS, etc. The only problem that would come up is IF you change the corps name and that would re-age the DNB file, but if you're planning on finding a corp without a DNB file or EX file for that matter you are going to start off new anyway as far as those 2 files are concerned. If you aren't planning on changing the corp name then you just change the officers, registered agent, etc. with DNB and they will also verify via state (SCC)." ....but, I am a newbie, I want this process to be a simple as possible, so i don't mind for right now putting in more man hours to find what i am looking for, i did use Zicman's referral of checking the Experian website to see if there is any credit file on my prospects without actually paying for the service, because remember i am looking for a corp that was initial created, but actually business did not really begin. So there should be no business credit history with DNB.com or the experian credit website that Zicman references. Maybe the next time around, my prospect list will be better, will keep you informed on my next time around(my next search & contact progress)! -

ZicMan, in reading your responses, I just realized I forgot to include it another question that I have. Do you know if an individual can apply for the "$9.95 monthly company monitoring service"?....or does it have to be a company applying for this monitoring service? Again, thank you, thank you for your help!! -

I thought that if the company is listed with DNB and even though it may not have a credit file and if there is a change of business address for the Corp, DNB will issue a new DNB number & we run the risk of DNB possibly reaging the corp as well. And moreover, if the company does not have any listing with DNB, its a for sure guarantee that there are not any outstanding debts for the corporation...... 1) do you know this to be true? "You can do a couple of things to keep your costs, research $$$ low with DNB and that's to pay for their $9.95 monthly company monitoring service. You can pull ANY company and get basic information about them such as the risk being LOW, MEDIUM or HIGH. Keep in mind though that doesn't really mean that a medium risk or high risk reporting is negative could only be that there is not any information on the file other than corp information. So use this as another tool in your research and then invest only a more comprehensive report if it looks like its worth it." 2) Is the "$9.95 monthly company monitoring service" cost per one company search and if so, would I be contracted to continue their service for the one company search? 3) Or does that cost cover unlimited company searches for $9.95 a month? 4) Do you have the "$9.95 monthly company monitoring service" website link and if so, could you please post it or email it to me...i would greatly appreciate that! UPDATE, I have began to go to the Secretary of State for Corporations searching for delinquent corps to make myself a contact list, the initial take off to began searching for delinquent corps has started off very slow, kind of didn't understand the secretary of state's website, kind of confusing, not too user friendly it took a few hours to figure out the best time management way to do my searches at their website, i plan to call the secretary of state and ask them if they have an easier way or a way that i can directly access a list of their delinquent corporations. Nevertheless, I began searching corp names, looking for a corporations that are delinquent and this is what I have encountered so far........ Some HURDLES OR YOU MAY LIKE TO CALL IT A SMALL OR BIG PROBLEM, HERE IT GOES, not sure what to call it, yet..a small or big problem.... 1) Many of the delinqent corps that i have come across at the secretary of state for corporation's website state that the company address & registered agent is an undeliverable agent address & undeliverable domestic address. So i take it, these delinquent corps may not be good ones to contact, since the addresses are not good, it sounds like possible more research may be needed with the delinquent corps that do not have verified addresses, so i guess for now i am going to skip these corps, I will not add them to my contact list. 2) As I come across corps that appear to have a verifable/good company address & registered agent address, i have to open another tab/window on my computer screen & I simultaneously check the corps name at dnb.com website and to my dissappointment many corps are already listed, so those corps. name I am having to remove from my list, so my list is very small/short, i have only a few to contact so far! Now i am continuing making my contact list of delinquent corps to contact. But still not sure how I am going to contact these corps, because they only have addresses & not telephone numbers and I really do not want to send out any mail if I don't have too, i would really like to avoid having to send out any mail. I haven't had much time lately to put some thought into this part yet, will do once i have my contact list....ANY FEEDBACK OR SUGGESTIONS ON HOW I CAN GO ABOUT REACHING THESE CONTACTS, IS VERY MUCH APPRECIATED! I will keep you updated on how it goes, but right now my goal is to make a longer contact list, so my chances of landing a good contact or should I say a AGE SHELF CORP will be good! 1) So I take it that you sell shelf corporations, right? 2) So your a broker, correct? After speaking with an escrow co. yesterday, escrow said that they would need a deposit to open/began escrow. So to me it makes sense to have the buyer(your customer) make an earnest money deposit to open escrow to cover those upfront fees you are talking about. And besides when i spoke to escrow yesterday, they said they would handle everything except the actual filing or recording with the corporations state office, now thinking about it, I should of asked escrow why they do not record or file the new transfer(new shareholders, officers, etc, new/amended articles, bylaws) Escrow said the buyer would actual finalize the transaction themselves by filing the corresponding docs necessary to complete the transfer(transaction) with the Corporations State office., so at that moment the buyer would have to 'have the cash' for the filing fees that are not being paid from/out of escrow. The way I see it, the broker would not have any out of pocket for any expenses(ie. fees). To me it appears the buyers has to put up all the money in order for this transaction to take place. Again the way I see, the broker is moreless, kind of getting a finders fee, but i can't really call it a finders fee, because if it wasn't for the broker the transaction wouldn't be happening. So i better look up broker & get a definition, here, so let me look it up......eh, here it is..... 1) An individual or firm employed by others to plan and organize sales or negotiate contracts for a commission. 2) A broker's function is to arrange contracts for property in which he or she has no personal interest, possession, or concern. The broker is an intermediary or negotiator in the contracting of any type of bargain, acting as an agent for parties who wish to buy or sell stocks, bonds, real or Personal Property, commodities, or services. Rules applicable to agency are generally relevant to most transactions involving brokers. The client is considered the principal and the broker acts as the client's agent. An agent's powers generally extend beyond those of a broker. A distinguishing feature between an agent and a broker is that a broker acts as a middleperson. When a broker arranges a sale, he or she is an agent of both parties. 3) In order to determine whether or not an individual is acting as a broker in a transaction, the type of services that are performed must be examined.http://legal-dictionary.thefreedictionary.com/broker ..................Ah, I don't know if I like broker here, maybe a finders fee is more simple, not yet sure on this, broker can require alot of legalities to follow, not sure yet, maybe it can be referred to a finders fee to avoid all the legalities & formalities that come with calling someone a broker here...i am business woman and i know you have to be careful on how & what you call(refer) to the services that you are offering/selling/providing, but I am hopeful that we may all come up with some answers here! So hopefully this can be a later topic, don't want to get off the main subject here!!!!!!!

OH I FORGOT THE COST OF TIME & EFFORTso far has been to get online & get a number for an escrow co., make the phone call, ask questions, write down the answers to my questions, about 15 minutes total is all it took, it has actually taken alot longer to type my Update above and make the effort that my update is clear, concise, organized for everyone reading it, so again its been more effort keeping everyone abreast here, but of course i don't mind, i am hopeful that we are all her to learn & help one another! SO AGAIN, Sofar, I think the cost for me in Time & Effort hasn't really been NOTHING really & especially when I am a true believer that KNOWLEDGE IS POWER and again it has not taken too much effort, yet! SEE YA LATER ALLIGATOR, IN AWHILE CROCIDILE! (sorry couldn't resist, saying that, i hear that all day long on a video tape that my baby watches over & over all day long! LOL!) for those that know, she watches KIDSONGS, over and over again all day long, my older children, say that the baby controls the t.v. in the house! LOL! ...and she does!! -

Also an earnest deposit to the escrow company of approx. $1,000 is required in opening up the escrow from the buyer, proceeds to be applied toward purchase price of $500.00(in this example) & toward the escrow fees., any balance or refund remaining will be dispursed @ close of escrow. NOW MY NEXT STEP...i plan to go the website for the secretary of state for corporations and/or commisioner of state for corporations(i think that is what the dept. is called) for research delinquent corporations(from what i come to find out each state is different, i thought before the dept for corporations was called Secretary of State only, but come to find out this is not for every state), i plan to make a list of delinquent corps. to contact, will let you know how this goes, i think i may began monday on attempting on contacting this delinquent corps., i don't know if anyone is working the day after thanksgiving...will keep you updated! Sorry Cruise, but i have been told different, your trade reference does not have to be listed with dunn & bradstreet, they just need to be a legitimate business'. I've been told by a business acquaintance that the references did not have to be listed with dnb, but of course had to be legitimate business'. This person that told me this was a person who was initially going to charge me several thousands of dollars to set up my dunns file & credit references for me using my trade references that i would of been giving him. This person told me that there are thousands & thousands of companies doing business out there who never get on dnb list and are not aware of corporate credit and have been in business for years. I believe him because I, myself at one time owned several businesses and were not aware of corporate credit. To my surprise, only one was listed with dnb and all were owned as sole proprieter. One of the companies was over 10 yrs. old.! I had always used my personal credit to run my businesses. So Cruise do you or anyone else have experience with DNB in using a trade reference who is not listed with them?

I am in California and both states are close to where am at right now. Both of these states fees are less than the state i reside in; i feel their more corporate friendly from where i reside; so far i have only seen both pros to have a corporation with either state!! Especially with purchasing an age corp., which is currently my goal right now, it seems to be alot less than a California corp.! My goal here is that i need to raise a large amount of money for a new business venture and if it easier to obtain it with out of state corp...i am for it. Please let me know if you think different and why? thanks

I HAVE HAD NO LUCK LATELY IN ACQUIRING A SHELF CORP & I NEED A SHELF CORP NOW, SO I CAN GO FORWARD IN BUILDING MY UNSECURED CORP. CREDIT! .....So i think as of right now i am going to take THUNDERCROW's advice. , too bad, it appears like he is not an active member, i could probably use his or her help right now!!! I am entreprenuer type of person....and i believe everyone here is at this creditboards' business credit section is too! So for those looking for a Shelf Corp., why don't you just get it yourself?!?! THUNDERCROW'S info. seems to sound logically. So I am going to attempt to contact some dormant corporations in the state that i am interested in. And admit I am a little stressed because i am not quite sure if i will be approaching it correctly, but i got to do what i got to do to get this going! So i will keep you posted on how it goes!
