Yes, I got mine at creditservicesnetwork.com - this site links back to another site, americancorpex.com - I was dealing with Patricia Jones, she was very helpful, answered numerous related questions, and gave lots of advice for free.

 

As you know, we don't want spammers coming here to advertise, but kind of like we share which credit services will do what, and how good they are, I see no problem with sharing this info with each other. We all want to know we're going to be treated well when making purchases of this type.

I just e-mailed creditservicenetwork to contact me about purchasing a shelf corp. Can I ask you....how long did it take you to have your documents in hand? Did you pay in full or make payments? I am just wondering what the length of time is between purchase and actually being able to aquire some credit. My business is seasonal (landscaping) and "tis the season". I am in a bit of a rush to get the jump on the competition. Thanks.

Let's see, she emailed me the forms (corp officers, etc) I printed, signed, faxed them back on 3/1, she filed those changes online. Then, overnighted the change of name for me to sign, did 3rd party overnight to the state to record the name change - that was on the 6th. Still waiting for the state to record the change of name. so, not completely done yet. She was very prompt with everything, the hold up is with the state.

 

She was flexible, made it easy to do business with her.

 

As far as how fast one can establish credit with this - I'll let you know. ;)

I am ASSuming you bought a corp that was not in your state, correct? Can you give me the basics on exactly how that works? Do you transfer it to your state or leave it in the state of purchase and run it from there? How complicated is this?

A corporationcannot be transferred to another state.

 

you get a registered agent in the state you are incorporated in.

 

yor business can be in another state, you may need a "application for foreign corporation to do business" in your state.

This is sounding expensive. What do you pay a registered agent? And what exactly do they do? My customers will be able to pay me directly, correct? This is so confusing. Guess thats why we have been in business for so long and have neve incorporated. :oops: I just hope this is worth the trouble.......

Yes, you're right. This is commonly done - there are states that have more favorable laws and taxes - but that's up to you. I think most of the sites I checked out had all 50 states available. You must have a resident agent in that state. I bought that service along with the corp.

 

You set up an address and phone number in the state of incorporation, usually, and have a way to forward mail and phone calls. The gal I was dealing with offers these services, but they are a tad expensive for me right now, and I figured there were other alternatives. However, at the moment, all the paperwork filed shows address and phone number in my state of residence, not the state of incorporation. It costs about $20 to make a change - I'll do that later.

 

Then, since I actually will be transacting business here, instead of there, I will file as a "foreign corporation" to do business in my state of residence. Otherwise I might not personally have the protection of the corporation in this state.

 

It's complicated no matter how you do it. ;)

not trying to cause a stink but dealt with patricia jones. used several different websites. said she was out of atlanta then tampa, fl then southern florida. when i inquired in more detail about the setup because her numbers didn't check out she agreed to form the corp in georgia and have me pay once everything was completed and said she had nothing to lose being that she could change it back if i didn't pay. i said so what's preventing you from changing it back once i do pay? i called back of course no answer. phones kept ringing wouldn't answer anymore calls.

breeze checked out both sites appear to be down or maybe it's just my computer. i'm glad you had a good experience because i am truly hesitant. patricia was very cordial and appeared to be extremely nice but after my inquiry into the validity of the company. got cut off

Check to see who owns it, and do your "due diligence" if you buy. You do not a corp that has a troubled history somewhere in the past. I think C M Chase has a thread on this.

breeze does a change of the business name change the date of incorporation? I mean it would be worthless to assume a business and duns and bradstreet doesnt recongize the name change unless duns and bradstreet charge a fee for name conversion?

Change of name doesn't change Inc date.

 

I don't know the results of asking for a name change with DnB.

 

You could always have the Shelf Corp be the parent of your corp....

 

hmmmm would I need to add a bylaws/resolution authrozing purchase of said company?

 

See that what been giving me headache in regards to shelf corporation and a freshly mint corporation

 

 

if you use a shelf corporation and I can understand why you would want to do that but if a corporation purchase another corporation does that means the shelf is the parent and the new corporation is the the child or does that mean you are just merging 2 corporation together and disolving the creation of a new one?

 

Because I do understand the concept of sudiarsidies but i dont understand how u make the shelf the parent and the new corporation which you really want because of the unique name.
